HSBC Private Equity announces the sale of Ampafrance

Paris|14 February 2003

HSBC Private Equity announces that it has sold Ampafrance, the leading European manufacturer of baby products, to Canada-based Dorel Industries Inc.

Ampafrance's baby products includes pushchairs, car seats and related accessories. It is also the only European player with a full range of products sold through all major distribution channels including specialised retailers and hypermarket chains. It owns four major brands: Bébé Confort, Monbébé, Babidéal and Baby Relax.

Since Ampafrance's acquisition by HSBC Private Equity in June 2001 the business has shown strong growth in sales and profits and, for the year to September 2002, generated sales of €175 million, up from €145 million in the year to September 2000.

The recent acquisition of the Baby Relax brand as well as continued innovation in the premium Bébé Confort product lines should continue to bolster growth.

Martin Schwartz, President & CEO of Dorel Industries Inc, said "This is truly a milestone transaction for us. I am delighted to be able to bring the Bébé Confort family into our own. In every respect it is an ideal addition to Dorel's existing European Operations."

Dominique Favario, CEO of Ampafrance, said : "Under HSBC Private Equity's ownership, we have continued to implement our growth strategy and we have worked together in the sale process to achieve a suitable outcome for the business, its employees and shareholders."

Nigel Hammond, Head of European Investment for HSBC Private Equity, said: "The sale of Ampafrance represents a significant achievement and is our first successful exit since we have increased our commitment to the French market in 2000. We are pleased that the strong complementarities between Ampafrance and Dorel will allow management to continue growing the company."
